If you are accessing the website on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.

Service availability is subject to current capacity. We reserve the right to decline an engagement if it falls outside our scope or capabilities, and we will communicate this clearly and promptly.

4. Engagement and Payment Terms

Each engagement is governed by a signed statement of work (SOW) that specifies the scope, timeline, deliverables, and payment schedule. These Terms & Conditions form part of that agreement.

Refund policy: The deposit is non-refundable once work has commenced. If Wrenth is unable to deliver agreed scope through our own fault, we will discuss remediation or a partial refund on a case-by-case basis.

All content on the Wrenth website — including text, design, and structure — is the property of Wrenth and may not be reproduced without written permission.

For service engagements: deliverables produced under a signed SOW are transferred to the client upon full payment of the engagement fee, unless otherwise specified in the SOW. Wrenth retains the right to reference the engagement type (but not client-specific data) for portfolio and capability purposes, subject to the client's agreement.

Any tools, frameworks, or methodologies developed by Wrenth prior to or independently of your engagement remain the property of Wrenth.

7. Confidentiality

Where an engagement involves access to client data, systems, or business information, Wrenth will handle such information with appropriate care and confidentiality. A mutual non-disclosure agreement (NDA) is signed at the start of each engagement.

Client-specific data shared with us during an engagement will not be disclosed to third parties and will be deleted within 30 days of engagement close, unless a longer retention period is required by law or agreed in writing.

8. Disclaimers

Our website and services are provided on an "as available" basis. While we take care to ensure accuracy, we do not warrant that the website will be free from errors or uninterrupted.

The outcomes of AI systems depend on the quality and completeness of training data, integration environment, and downstream usage. We will communicate clearly about expected accuracy ranges, known limitations, and conditions where results may vary.

Nothing in these terms should be construed as a professional advice relationship beyond the specific scope of the signed engagement.

9. Limitation of Liability

To the extent permitted by Malaysian law, Wrenth's total liability for any claim arising out of or in connection with an engagement shall not exceed the total fees paid for that specific engagement.

Wrenth shall not be liable for indirect, incidental, or consequential damages, including loss of business, revenue, or data, arising from the use or inability to use our services.

You agree to indemnify and hold Wrenth harmless from any claims, damages, or expenses arising from your misuse of our website or services, your violation of these Terms, or your infringement of any third-party rights in connection with data or materials provided to us during an engagement.

11. Termination

Either party may terminate an engagement by providing written notice if the other party materially breaches the agreement and fails to remedy the breach within 14 days of notification.

Upon termination, Wrenth will deliver any completed work to that point. Fees for work completed prior to termination are payable by the client. Wrenth will refund any portion of fees that correspond to work not yet begun.

Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination of any agreement.

12. Governing Law and Dispute Resolution

These Terms & Conditions are governed by the laws of Malaysia. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

Before initiating formal proceedings, both parties agree to attempt resolution through direct discussion. Either party may request a meeting within 14 days of a dispute arising to attempt an informal resolution.
